PLEASE NOTE THAT YOUR PARTICIPATION IN THE PROMOTION IS SUBJECT TO THE FOLLOWING TERMS & CONDITIONS. IF YOU DO NOT AGREE TO ALL OF THE FOLLOWING, YOU MAY NOT PARTICIPATE IN THE PROMOTION IN ANY MANNER. PARTICIPANTS IN THE PROMOTION MUST REGISTER AND MAINTAIN AN ACCOUNT WITH UNDERDOG. COLLECTIVELY, “UNDERDOG” REFERS TO UNDERDOG SPORTS HOLDINGS, INC., ITS SUBSIDIARIES AND AFFILIATED ENTITIES, INCLUDING, BUT NOT LIMITED TO, UNDERDOG SPORTS, LLC D/B/A UNDERDOG FANTASY; UDM, LLC D/B/A UNDERDOG PREDICT; AND UDM SERVICES, LLC. UNDERDOG PROVIDES AN ONLINE PLATFORM VIA ITS UNDERDOG APP (WHETHER ON ANDROID, IOS, OR OTHERWISE) AND MAY ALSO OFFER THE PLATFORM THROUGH A WEBSITE (COLLECTIVELY, THE “SITE”). PARTICIPANTS IN THE PROMOTION MUST ALSO ACCEPT THE UNDERDOG FANTASY & UNDERDOG PREDICT TERMS OF USE (“TERMS”), WHICH IN TURN INCORPORATE AND APPLY TO THESE OFFICIAL RULES. THESE OFFICIAL RULES GOVERN AND CONTROL THE PROMOTION AND ARE CONSIDERED TO BE PART OF THE TERMS. PLEASE NOTE THAT THESE RULES EXPRESSLY INCORPORATE MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS SET FORTH IN THE TERMS. THE COLLECTION AND PROCESSING OF PERSONAL INFORMATION AS PART OF OR IN CONNECTION WITH PARTICIPATING IN ANY PROMOTION, INCLUDING THIS ONE, ARE SUBJECT TO AND GOVERNED BY THE UNDERDOG FANTASY & UNDERDOG PREDICT PRIVACY POLICIES.

Description of Promotion

Welcome to the Challenges Promotion (“Promotion”), where eligible participants may opt in to complete designated activities (“Milestones”) within a specified time period in exchange for a reward (“Promotion Reward”). Each individual challenge (“Challenge”) will specify the Milestone(s) required for completion, the Promotion Reward to be issued upon completion, and the time period in which the Challenge must be completed (“Challenge Period”). The specific terms of each Challenge, including the type and value of the Promotion Reward and the applicable Milestone criteria, will be presented to the participant within the Underdog app or Site at the time of activation (the “Challenge Advertisement”).

A Promotion Reward may take the form of Bonus Funds, Bonus Entries, a deposit match, a profit boost (“Boost”), a discount (“Discount”), a gimme (“Gimme”), a no-sweat (“No Sweat”), or any other reward type as described in the Challenge Advertisement (collectively, “Promotion Rewards”).

PROMOTION REWARDS THAT TAKE THE FORM OF BONUS FUNDS OR BONUS ENTRIES ARE NOT EQUIVALENT TO CASH DEPOSITS. PROMOTION REWARDS THAT TAKE THE FORM OF BOOSTS, DISCOUNTS, GIMMES, NO SWEATS, OR OTHER NON-CASH REWARDS HAVE NO CASH VALUE AND ARE NOT WITHDRAWABLE UNDER ANY CIRCUMSTANCES.

Bonus Funds and Bonus Entries are subject to turnover or playthrough requirements, time limitations, and other limitations detailed in these Official Rules or in the Challenge Advertisement. Non-cash Promotion Rewards (including but not limited to Boosts, Discounts, Gimmes, and No Sweats) are subject to usage conditions and expiration as described in the Challenge Advertisement or these Official Rules.

Promotion Rewards may only be used for fantasy contest entries, and cannot be used for prediction picks, which are event contracts offered through Underdog Predict (a registered FCM) or otherwise made available through Underdog.

Sponsor

The Promotion is sponsored by Underdog (“Sponsor”). References to “you” or “your” throughout these Official Rules mean the person to whom a Promotion Reward is issued upon satisfaction of the terms and conditions set forth in this Promotion. Redemption of any Promotion Reward is expressly conditioned upon acceptance of and compliance with all these Promotion Terms and Conditions (“Terms and Conditions”). Promotion participants may be required to sign paperwork issued by Sponsor.

Sponsor expressly reserves the right to amend, suspend, or terminate this Promotion or any individual Challenge at any time without prior notice or consent. Administration of this Promotion, including the creation, modification, and removal of individual Challenges, is at the sole discretion of Sponsor.

As used in these Terms and Conditions, “Challenge Advertisement” means the description of the Challenge presented to the participant within the Underdog app or Site at the time of activation or at any point during the Challenge Period. The Challenge Advertisement will include, at a minimum, the Milestone(s) required, the Promotion Reward offered, the Challenge Period, and any additional conditions or restrictions applicable to the Challenge. Underdog expressly reserves the right to present different Challenges or different versions of a Challenge to different customers in its sole discretion, for any reason whatsoever.

For purposes of these Terms and Conditions, Bonus Funds and/or Bonus Entries mean a dollar equivalent available to the customer as a substitute for entry fees into fantasy sports contests. Bonus Funds and/or Bonus Entries are not cash, cash equivalents, or any other tangible or intangible property of the customer unless and until the turnover or playthrough requirements of the Promotion are met.

For entries composed of a mix of prediction event contract futures and fantasy sports contest entries (“Combinations” or “Combo”), the following rules apply to the use of Bonus Funds/Bonus Entries/Promotion Rewards: The initial fantasy entry fee is funded with the Bonus Funds/Bonus Entries. When the customer instructs a withdrawal of the Bonus Funds/Bonus Entries for purposes of funding the prediction event contract future, Underdog waives the turnover or playthrough requirement for the Bonus Funds/Bonus Entries and makes the Bonus Funds/Bonus Entries immediately withdrawable to the customer’s prediction event contract market account, per the customer’s instruction. In the event that the customer subsequently cancels the fantasy sports contest portion of the combination entry, the customer agrees that the total amount used to fund the combination entry from Bonus Funds/Bonus Entries will be deposited to the customer’s fantasy account as Bonus Funds/Bonus Entries and subject to a continued turnover or playthrough requirement (i.e., it must be “played through” at least once in a valid entry before becoming withdrawable as cash). Upon cancellation of the fantasy entry, the customer retains as immediately withdrawable and unrestricted funds any amount from the prediction event contract future in excess of the amount of the Bonus Funds/Bonus Entries used to fund the combination entry.

Promotion Period

The Promotion is ongoing and consists of individual Challenges, each with its own Challenge Period. Each Challenge Period begins when the participant activates the Challenge and ends after the duration specified in the Challenge Advertisement (“Challenge Period”). If the participant does not complete all required Milestones within the Challenge Period, the Challenge expires and no Promotion Reward will be issued. Partial progress toward Milestones does not carry over and is forfeited upon expiration of the Challenge Period.

Eligibility

The Promotion is only open to individuals who are: (i) at least eighteen (18) years of age, except for individuals who are physically located in Alabama, Colorado (for some games), or Nebraska, in which case you must be at least nineteen (19) years of age; and for individuals who are physically located in Arizona, Massachusetts, or Virginia, you must be at least twenty-one (21) years of age; (ii) physically present in a state where Underdog operates; and (iii) not enrolled in any U.S. state or Underdog self-exclusion program or on an active cool-off during the Challenge Period.

Additionally, Sponsor reserves the right to refuse or otherwise restrict your eligibility to participate in any Challenge, including this Promotion, for any reason, in its sole discretion, including based on your contest patterns or contest history or if you failed to take advantage of any previous promotion in good faith.

Individual Challenges may not be made available to all eligible participants and may be targeted only to specific participants at Sponsor’s sole and absolute discretion. If a Challenge is presented as an invitation-only offer, participants who were not directly invited by Sponsor are not eligible to participate in that Challenge. Duplicate accounts will be flagged, and the Promotion Reward will be forfeited, in addition to other adverse action consistent with Sponsor’s Terms of Use and other applicable rules and terms.

Any questions relating to these Terms and Conditions, eligibility, or anything else concerning this Promotion will be resolved at the sole discretion of Sponsor, and its decisions will be final and binding with respect thereto.

Any participant who is found to be ineligible to play on Underdog immediately forfeits any Promotion Reward and any other awards or offers associated with this Promotion.

How to Enter

To participate in a Challenge, the participant must activate the Challenge within the Underdog app or Site. Activation constitutes the participant’s agreement to the terms of the specific Challenge, including these Terms and Conditions. Once activated, the participant must complete all Milestone(s) specified in the Challenge Advertisement within the Challenge Period.

Milestones may include, but are not limited to: placing a specified number or dollar amount of entries, entering contests in specified sports or contest types, entering contests on consecutive days, or any other qualifying activity as described in the Challenge Advertisement. The specific criteria for each Milestone will be clearly stated in the Challenge Advertisement.

A single qualifying entry may count toward Milestones in multiple active Challenges simultaneously, unless otherwise specified in the Challenge Advertisement.

Claiming Promotion Reward

Once all required Milestones for a Challenge have been completed, the Promotion Reward will be credited to the participant’s Underdog account. For Bonus Funds or Bonus Entries, the reward will be credited within one (1) hour after the final qualifying Milestone is verified. For non-cash Promotion Rewards (Boosts, Discounts, Gimmes, No Sweats, or other reward types), the reward will be credited and made available for use within a reasonable time after the final qualifying Milestone is verified, as determined by Sponsor.

Promotion Reward recipients will be solely responsible for all federal, state, and local taxes, and for any other fees or costs associated with the Promotion Reward received, regardless of whether the Promotion Reward, in whole or in part, is used. The Promotion Reward value may be reported for tax purposes as required by law. Sponsor reserves the right to withhold any winnings, as required by applicable law.

Entry Cancellation and Milestone Progress

If a participant cancels a contest entry that was counted toward a Milestone, the participant’s progress toward that Milestone will be reduced accordingly (i.e., the cancelled entry will no longer count toward Milestone completion). However, any Promotion Reward that has already been issued to the participant’s account upon completion of a Challenge will not be revoked solely due to the subsequent cancellation of a qualifying entry.

Registration Procedures

To qualify for the Promotion, you must have an active Underdog account and verify your identity to play on the Site. Creating an Underdog account is free. By submitting your information and creating an Underdog account, you will be required to agree to all applicable Underdog Terms of Use, Privacy Policies, and all other applicable terms and conditions, including these Terms and Conditions. If you do not agree to the Underdog Terms of Use and Privacy Policies, you cannot create an Underdog account, and thus, you cannot participate in this Promotion.

Limitations on Participation

In addition to the eligibility requirements outlined above, Sponsor reserves the right to refuse or otherwise restrict your eligibility to participate in any Challenge for any reason, in its sole discretion, including based on your contest patterns or contest history or if you failed to take advantage of any previous promotion in good faith. This Promotion is void where prohibited by law.

Order of Funds Used for Entering Contests

Bonus Funds or Bonus Entries awarded as a Promotion Reward are non-withdrawable until all applicable turnover or playthrough requirements are met. However, any winnings from fantasy contests entered using Bonus Funds or Bonus Entries are immediately withdrawable subject to the completion of all turnover or playthrough requirements and any other applicable restrictions. When an Underdog Fantasy account has both bonus funds and customer-deposited funds, and that account does not have the ability to select the source of funds to place a contest entry, bonus funds will be applied to entry fees before customer-deposited funds.

For customers who are presented with the option to select either bonus funds or customer-deposited funds to enter a contest, entry fees will be deducted based on the selection made by the customer at the time of entry.

This section applies only to Promotion Rewards that take the form of Bonus Funds or Bonus Entries. Non-cash Promotion Rewards (Boosts, Discounts, Gimmes, No Sweats, and similar) are applied directly to qualifying entries as described in the Challenge Advertisement and do not affect the order of funds.

Restrictions on Withdrawal

For Bonus Funds and Bonus Entries: Bonus Funds or Bonus Entries awarded as a Promotion Reward must be played through one time (1x) during the applicable turnover period before any winnings are eligible for withdrawal. The turnover period for Bonus Funds or Bonus Entries will be specified in the Challenge Advertisement. If no turnover period is specified, the default turnover period is fourteen (14) days from issuance (“Turnover Period”). Bonus Funds or Bonus Entries will be forfeited if not used within the Turnover Period. Sponsor may reclaim Bonus Funds or Bonus Entries at any time after the Turnover Period has ended, without further notice to the customer. Sponsor does not waive the right to reclaim the Promotion Reward if it does not automatically reclaim it at the end of the Turnover Period, or at any time thereafter.

For Non-Cash Promotion Rewards (Boosts, Discounts, Gimmes, No Sweats, and similar): Non-cash Promotion Rewards have no cash value, are not withdrawable, and are not transferable. Non-cash Promotion Rewards must be used within the expiration period specified in the Challenge Advertisement. If no expiration period is specified, the default expiration period is fourteen (14) days from issuance. Unused non-cash Promotion Rewards will expire and be forfeited at the end of the applicable expiration period without further notice to the customer.

Cancellation

At any time, should you wish to cancel your participation in a Challenge or this Promotion, please contact Underdog Customer Support at support@underdogfantasy.com or support@underdogpredict.com. Cancellation of a Challenge prior to completion will result in forfeiture of any progress toward Milestones and any unissued Promotion Rewards associated with that Challenge. Promotion Rewards that have already been issued to your account prior to cancellation will remain subject to their applicable terms (including turnover, playthrough, and expiration requirements).

Any other funds in your Underdog account that are not subject to restriction may be withdrawn upon cancellation. Any bonus funds, bonus entries, or promotional credit that remain in your account are non-withdrawable. Sponsor, in its sole discretion, reserves the right to decline your request to cancel participation in the Promotion.

Limitation of Liability

Sponsor is not responsible, and shall have no liability, for any errors or omissions in any advertising for the Promotion or any individual Challenge, nor shall Sponsor be liable for computer, device, or program malfunctions. Sponsor is not liable for any erroneous issuance of a Promotion Reward, any failure to track Milestone progress, or any technical issue that affects Challenge participation or Promotion Reward delivery.

Under California Civil Code Section 1789.3, California consumers are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N. General Information

Waiver and Severability of Terms. The failure of Underdog to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions is found by an arbitrator or court of competent jurisdiction to be invalid, the parties nevertheless agree that the arbitrator or court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms and Conditions remain in full force and effect.

Statute of Limitations. You and Underdog agree that any claims or lawsuits, regardless of form, arising out of or related to the website, app or platform (including the Promotion) or these Terms and Conditions, the Underdog Terms of Use or Privacy Policy must BE FILED within ONE (1) YEAR of the action, omission, event or occurrence giving rise to the claim or suit, after which such claims will be time-barred and prohibited, without regard to any longer period of time which may be provided by any period of limitation or repose by law or statute. This statute of limitations provision does not apply to residents of New Jersey.

Section Titles. The section titles in the Terms and Conditions are for convenience only and have no legal or contractual effect.
